Acceptance of Terms
By accessing or using Nrestro ("the Platform", "we", "our", "us"), you agree to be bound by these Terms & Conditions. If you do not agree, you must not use the Platform.
Nature of Service
Nrestro is a restaurant management software. It is not a billing, invoicing, tax, or accounting system.
VAT, PAN & IRD Disclaimer (Nepal)
1. Nrestro does not generate VAT or PAN invoices.
2. Nrestro is not registered with the Inland Revenue Department (IRD) of Nepal.
3. You are solely responsible for VAT/PAN registration, tax filing, and legal compliance.
Nrestro shall not be liable for any penalties, audits, notices, or legal actions imposed by government authorities.
Account Registration
You must provide accurate and complete information during registration and are responsible for all activities performed under your account.
Account Security & Password Responsibility
You are responsible for maintaining a strong and confidential password. Nrestro shall not be liable for any data loss, unauthorized access, or security breaches caused by weak passwords, password sharing, or negligence.
Third-Party Services & Fonepay Integration
Nrestro may integrate with third-party services, including Fonepay. Nrestro does not control these services and is not responsible for any transaction failures, delays, disputes, chargebacks, or financial losses arising from their use.
Third-Party SMS Services
1. The user is solely responsible for obtaining all necessary consents from recipients prior to sending any SMS messages.
2. We do not guarantee message delivery and shall not be responsible for delays, failures, or non-delivery caused by telecom operators, network congestion, system downtime, regulatory restrictions, or invalid mobile numbers.
3. We expressly disclaim all liability for any direct, indirect, incidental, consequential, or special damages, including but not limited to financial loss, reputational harm, or data loss, arising out of or in connection with the use of this SMS service.
4. The SMS service is provided on an "as-is" and "as-available" basis, without warranties of any kind, whether express or implied.
5. We reserve the right to suspend, restrict, or terminate access to the SMS service at any time without prior notice in the event of misuse, violation of applicable laws, or breach of these terms.
6. Compliance with all applicable laws, regulations, and telecom policies (including those issued by NTC, Ncell, or other operators) is the sole responsibility of the user.
Subscription, Pricing & Payments
Certain features may require a paid subscription. Prices and plans may change at any time. Failure to pay may result in suspension or termination. Fees are non-refundable unless stated otherwise.
Acceptable Use
You agree not to misuse the Platform, attempt unauthorized access, reverse engineer, or use the service for illegal activities.
Intellectual Property
All software, content, logos, and intellectual property belong exclusively to Nrestro. You are granted a limited, non-transferable license to use the service.
Data Responsibility
You are responsible for the accuracy, legality, and ownership of all data entered into the Platform.
Service Availability
The service is provided on an "as-is" and "as-available" basis. Nrestro does not guarantee uninterrupted or error-free service.
Limitation of Liability
To the maximum extent permitted by law, Nrestro shall not be liable for any indirect, incidental, or consequential damages, including loss of data or revenue.
Termination
Nrestro reserves the right to suspend or terminate access at any time due to violations of these terms or non-payment.
Governing Law & Jurisdiction
These Terms & Conditions are governed by the laws of Nepal. Any disputes shall be subject to the courts of Nepal.
Changes to Terms
Nrestro may update these Terms & Conditions at any time. Continued use constitutes acceptance of the updated terms.
