1. Acceptance of Terms

By accessing or using Nrestro ("the Platform", "we", "our", "us"), you agree to be bound by these Terms & Conditions. If you do not agree, you must not use the Platform.

2. Nature of Service

Nrestro is a restaurant management software intended to assist with operational management only. Nrestro is not a billing, invoicing, tax, or accounting system.

3. VAT, PAN & IRD Disclaimer (Nepal)

• Nrestro does not generate VAT or PAN invoices.
• Nrestro is not registered with the Inland Revenue Department (IRD) of Nepal.
• You are solely responsible for VAT/PAN registration, tax filing, and legal compliance.

Nrestro shall not be liable for any penalties, audits, notices, or legal actions imposed by government authorities.

4. Account Registration

You must provide accurate, complete, and current information during registration and are responsible for all activities performed under your account.

5. Account Security & Password Responsibility

You are responsible for maintaining the confidentiality of your account credentials. Nrestro shall not be liable for any data loss, unauthorized access, or security breaches resulting from weak passwords, password sharing, or negligence.

6. Third-Party Services & Payment Integrations

Nrestro may integrate with third-party services, including payment providers such as Fonepay. Nrestro does not control these services and shall not be responsible for transaction failures, delays, disputes, chargebacks, or financial losses arising from their use.

7. Third-Party Services & SMS Provider Integration

Third-Party SMS Services

1. The user is solely responsible for obtaining all necessary legal consents from recipients prior to sending any SMS messages.
2. The user acknowledges that SMS charges, routing, and delivery are controlled by third-party SMS providers and telecom operators.
3. Nrestro does not guarantee message delivery and shall not be responsible for delays, failures, filtering, or non-delivery caused by telecom operators, network congestion, system downtime, regulatory restrictions, or invalid mobile numbers.
4. The SMS service is provided on an "as-is" and "as-available" basis without warranties of any kind, whether express or implied.
5. Nrestro expressly disclaims all liability for any direct, indirect, incidental, consequential, or special damages, including financial loss, reputational harm, regulatory penalties, or data loss arising from SMS usage.
6. Nrestro reserves the right to suspend, restrict, or terminate SMS services at any time without prior notice in cases of misuse, suspected spam, fraud, or violation of applicable laws.
7. Compliance with all applicable telecom laws, regulations, and operator policies (including those issued by NTC, Ncell, or other authorities) is solely the responsibility of the user.

8. Subscription, Pricing & Payments

Certain features may require a paid subscription. Pricing and plans may change at any time. Failure to make timely payment may result in suspension or termination of services. Unless stated otherwise, all fees are non-refundable.

9. Acceptable Use

You agree not to misuse the Platform, attempt unauthorized access, copy or reverse engineer the software, or use the service for any illegal or prohibited activities.

10. Intellectual Property

All software, trademarks, logos, and content are the exclusive property of Nrestro. You are granted a limited, non-transferable, non-exclusive license to use the Platform.

11. Data Responsibility

You are solely responsible for the accuracy, legality, and ownership of all data entered into the Platform.

12. Service Availability

The Platform is provided on an "as-is" and "as-available" basis. Nrestro does not guarantee uninterrupted, secure, or error-free operation.

13. Limitation of Liability

To the maximum extent permitted by law, Nrestro shall not be liable for any indirect, incidental, or consequential damages, including loss of data, revenue, or business opportunities.

14. Termination

Nrestro reserves the right to suspend or terminate access to the Platform at any time due to violations of these Terms or non-payment.

15. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of Nepal. All disputes shall be subject to the exclusive jurisdiction of the courts of Nepal.

16. Changes to Terms

Nrestro reserves the right to modify these Terms & Conditions at any time. Continued use of the Platform constitutes acceptance of the revised terms.
